FACTS. - Horman conveyed a shopping center to Clark, reserving rights to park in the public parking lot. Clark later conveyed
the shopping center to Wirthlin, who conveyed it to Arnold, who conveyed it to Finlayson, the owner at the time of suit. Horman's
agreement was not recorded until after Wirthlin conveyed. Finlayson refused to let Horman use the parking lot. PROCEEDINGS. - Horman sued Clark for breach of contract. The district court dismissed, and Horman appealed.
